Regularization of additional directors

Additional director can't be regularize in Board Meeting. 

See the person cannot be appointed as a Director in Board Meeting. When the Company cannot hold General Meetimg and wants to appoint Director.Then the Board appoints Additional Director and get it approved him as Director in EGM/AGM.

We CAN NOT regularize an additional director in board meeting.

We have to regularize only through egm or agm

                             Board meeting cannot regularize the additional director as regular director, the only route for him to become director is 257 route

Section : 260 says that

 Additional director is appointed between two AGM's. The term of the additional director is upto next AGM.

This is the reason why the director can only be regularised only at an AGM.
