There are number of ROC & Secreterial Formalities Viz. : Filing of Annual Accounts, Filing of ROC Forms, Board Minutes, General Body Minutes, Statutory Books etc. You need to be more specific please.

Hey everyone, I am completely illiterate when it comes to ROC matters!

So I require a complete list of forms to be submitted from April-March every year.

If it is already posted on this site, Please give me the link.

Filing of forms to ROC is event base. Though, certain forms are required to be filed every year such as Form 23AC, ACA, 20B. Others are completely event base for example whenever a special resolution is passesd form 23 is requird to be filed within 30 days of the date of resolution. Simillarly, list of form to be filed with ROC can not be specific.

A pvt. ltd. company registered with ROC in the year 2008. the company did not starts business till date. they have no bank account, No PAN no and any other licence no..  they haven't filled a signal paper till today to the ROC after incorporation.

Now the directors (company)  wants to start business; a) what are formalities they need to do to start business(inthe case of ROC)? b) before start of the business 2diectors want to regine out of 4 directors and they want to change the register office.

could you please tell the steps need to be taken and process?

The Company can start the business now.  However statutory records needs to be updated including minutes of Board Meeting.

The two directors can resign.  Their resignation can be accepted in the Board meeting and Form 32 for their exit is to be filed. 

For change of registered office, within the same city,  Board to note the same and Form 18 is to be filed with ROC.

For previous years following needs to be done:

1) Closing of accounts

2) Holding of AGM

3) Efling of annual accounts and annual return
