if share holder includes some Pvt Ltd companies too ,what will be the procedure for Dematerialize of shares , also please let us know how can we treat if any share holder passes away long time ago , how can we treat that portion of shares

If it is not small Pvt. ltd company, check with its registrar, dematerialization of such companies is possible.
Those shares gets transferred to his/her legal heir.
