Re-appointment of rotational director

Dear All,

I have a query regarding re-appointment of rotational director.

Case: in our company we have 5 Directors of which 4 are rotational directors. say A,B,C,D. now in our last AGM we re-appointed A & B as rotational directors and in this AGM C,D bound to retire but they both have resigned before circulation of Notice of AGM. Now the problem is that to whom we should show as rotational director in the AGM or we don't have any need to retire anybody. How it is to be shown in Notice of AGM.

Anyone of A or B will retire again this year.

Either A or B, whosoever is longest in office will retire this year.

As said by Neha, the director, whose term is lngest will retire this year.

Since there are only THREE directors and out of which TWO directors are eligible for rotation and ONE is a non rotational director, the fractiore is 0.67 rounded of to nearest to one and ONE director retires at the forthcoming AGM
