Re-appointment of md & wtd

• Section 179(3)  r/w Rule 8 of Companies(Meeeting of Board and its Power) Rules 2014 & Section 117(3)(c)  :-  MGT 14 within 30 days of passing of resolution(Agreement and other documents are annexed)
• DIR 12 File Form DIR-12 within 30 days of passing of resolution.
•  Section 196 r/w Rule 3 of Companies ( Appointment and Remuneration) Rules 2014 :- MR-1 within 60 days of passing of resolution

so in Form DIR-12 do we have to select Appointment as purpose? coz already on MCA site it shows as MD & WTD. Also as appointment is subject to shareholders approval, so whne is agreement of service to be executed?

Please note in the case of appointment of Managing Director in Private Companies Section 196(4) and 196(5) is not applicable. Therefore, eform MR-1 is not required for private companies
