Re-appointment of auditor

Dear All,

          My Querry Is When There Is Re-Appointment Of Auditor At AGM, A Formal Resolution Is Required To Be Passed.

Now, There Is A Sentence In Company Law Book :-

" ... Mere Absense Of Resolution To The Effect That The Retiring Auditor Shall Not Be Re-Appointed Is Not Sufficient ..."

 - What Will Be The Proper Interpretation Of Above Sentence ,With Example ?

It would probably mean that........just because....a resolution is not passed regarding Appointment of Auditor in the concerned AGM.........the retiring auditor will not continue in force........for the next period.......

It will be required to be passed  resolution and the same should also mention in director report of the company in Auditor Clause.

 

The Board will decide the remuneration of auditor.
