What will you do for adjourned BM? if you pass resolution by circulation
My question is meeting in which resolution has to be passed in BM adjourned for want of quorom. Can this resolution can pass by circulation?
Yes , any of the Business of the Agenda of a Board meeting which is allowed to be transacted by resolution by circulation as per the Companies Act 2013,and the Board meeting is adjourned for the want of quorum then you can transact the said business by resolution by circulation.At the same time you have take care that if after transacting the business by resolution by circulation the Board meeting does not have any business,the Board meeting which is adjourned for the want of Quorum should be cancelled by circulating notice to the all directors giving facts of the cancellation.
