A Pvt. Ltd. company passed special resoltuion in egm held on 01.03.2011 for change in regd. office from one state to another and file form 23on 05.03.2011 but clb order confirming the change came in april 2012, so whether deatils of EGM and Form 23 should come in the compliance certificate for FY 2011-12. Also, this is the first time compliance certificate is being filed for the company

Annexure B would not contain the details of form 23 however, the Compliance Certificate should disclose the fact and CLB order should be referred.
