Query regarding Compliance Certificate

hi,

I would like to know that if its mentioned in Compliance certificate that no EGM has been held for a financial year but we want to conduct it in that year then what would be the consequences. Can EGM be conducted after filing of compliance for that F.Y.

Dear Rani, Pls mention the dates of your event. Your query is not clear to me. Did u meant to hold EGM in back date.

Yes, I wish to hold the EGM in F.Y. 2009-10 for which the CC has been filed. Now what can be done......

As per law EGM can not be held as then your compliance certificate will be to that extent wrong or give false information. Also CS in practice who has issued that Compliance certificate will be charged with giving wrong particulars in CC. Hence in case you could defer holding EGM then I suggest you to do the same. Thanks
