In Sec. 283(2a) it is provided that, in respect of violation of Sec. 270 (Share Qualification for Directors),

 

If a person acts as a director when he knows that the office of director held by him has become vacant, he shall be punishable with fine upto Rs. 5,000/- per day FOR THE PERIOD HE ACTS AS A DIRECTOR.

 

 

My question is how the period should be counted?

Entire period i.e. right from the date of his appointment

to the last date on which he acted as a director 

 

OR

 

From the day when he came to know

to the last date on which he acted as a director?

It will be counted from the day the office becomes vacant upto the date he discontinues to hold the office as a director.

Dear Yogesh,

 

Under section 283(2A), the director would be pubishable with fine which may extend to Rs. 5000/- per day if he continues as director after coming to know that the office of director held by him has become vacant on account of any of the diqqualifications, specified in the several clauses of sub section (1) of section 283.

 

Therefore, he would be punishable from the day he should vacant his office if he continues.
