Query on name change of pvt. ltd. company

Hi, Sir My query is ..... If a pvt. Ltd. Company has only two directors and no other shareholder as it is a limited by shares by its MOA/AOS., and in that case if company want to change the name of the co., so, Is it compulsory to conduct general meeting of members /shareholders approved in board meeting , which has to call after getting approval for availability of new name from ROC by e-filling of form INC-1 as there is no other shareholders except directors. Can directors of the company pass special resolution for approval of new name. If yes , then how? How can they alter MOA and AOA with respect to name change of company’s name. Pls guide.
