Dear All,
We have to appoint a full time employee as director in a private company. He is currently drawing a salary of Rs. 60000/- per month with entitlements of PF and Bonus. Now we want that he will draw the same structure after his appointment as Director? Please let me know the proceedure?
Do we treat him as whole time Director and confirm his appointment after passing SR in EGM?

You may appoint him in Board under section 269 read with schedule XIII and the appointment shall be subject to the approval of shareholders by way of Ordinary or Special Resolution as per the capital of your company and the table of Schedule XIII as may be applied.
You need to file form 32 and 25C in this regard.
