Dear Friend

I am going to form one company in which limited liability partnership will be 100 % shareholder

My question is

While filling Form 1A, what should i enter into promoter's details & who will be promoters.

Dear Friend

everyprivate company must have minimum Two Promoters and Two Directors.

Since private limited company should have two subscribers and two directors, obtain Resolution by LLP specifying the following:

1. WHo will be the nominee shareholder and how much shares he / she will hold on behalf of LLP and

2. Who will be the first Directors of the Company to be formed.

LLP and other person named in the Resolution shall be two promoters and two persons named in the Resolution as first directors shall be mentioned in form 1A. These two Directors shall be nominee directors of LLP.

This Resolution is to be attached with Form 1A. However, first you confirm with incorporation cell at ROC office whether they are allowing LLP as shareholder. In my opinion, it should be allowed.

After incorporation, formalities under section 187C of the Companies Act, 1956 should be complied with.
