pvt. ltd. & its divisions formation

Hello everyone  !

 

We have newly formed a Pvt. Ltd. Co. & decided to form 2 divisions under main co. bifurcating the business in each i. e in one division import –export, in other OMS purchase from manuf co. etc. For this whether there is any procedure means is it required to pass any kind of resolution.

 

We have to obtain all kinds of registration with different depts – like TAN, Excise, VAT, CST, IEC, Service Tax, Professional Tax etc.

 

For all above registrations, can we apply for a single registration for main co. as all other are divisions of it. Then what about return - income tax & all other – whether it will be consolidated ?

 

We are doing import export transaction thro one of the division, then can we use the same IEC of new co. or we’ve to take separately for that division. Some are telling if we use the IEC of main co. then it’ll not match in custom’s data at the time of arrival of consignment.

 

You’re requested to explain about the procedure for other registrations also.

You can have one IEC code for the company in which you can register various offices from where the orders will be placed.

 

If place of operations are different, then different excise registration will be required. VAT registration may also be kept seperate, if the operations are different and you want to manage them in that manner. However, for reducing the administrative work, you may have only one registration.

 

As regards, Income tax, TAN, you can have only one registration number.

 

A Board resolution may be required only if demanded by various govt. offices
