In every notice calling a meeting of a company which has a share capital, or the articles of which provide for voting by proxy at the meeting, there shall appear with reasonable prominence a statement that a member entitled to attend and vote is entitled to appoint a proxy, or, where that is allowed, one or more proxies, to attend and vote instead of himself, and that a proxy need not be a member.

please say me what is right process for starting a new company
what is the type of company ur planning to incorporate.? & few forms have to be uploaded to ROC n minimum of 2directors r required for cap upto 10L.

As per Secretarial Standard 3 

Since Members need to be personally present at a Meeting to constitute the Quorum, Proxies are to be excluded for determining the Quorum. However, a duly authorized representative of a body corporate or the representative of the President of India or the Governor of a State is deemed to be a Member personally present and enjoys all the rights of a Member present in person

Proxies are not included in the Quorum of General meeting as the members needs to be personally present in the General Meeting for forming the Quorum as laid down u/s 103 of the Companies Act 2013.

However, any Representative of the President of India ( CG ) or the Governor of State ( SG ) will be counted in the quorum as they are deemed to be a Member as per the Provision of SECTION 112 of the Companies Act 2013.

Same would be applicable for a Representative of a Corporate u/s 113 of the Companies Act 2013.
