In case of a Private Company, what are the procedures that should be adopted when the number of directors falls below 2 due to death of a director?

Call a Board Meeting and appoint Additional Directors u/s 260 of the Companies Act 1956

These Additional Directors will hold the office till the next AGM of the company, therefore Form No. 32 will have to be filled two times for such director, i.e. one at the time of appointment and second time within 30 days from conclusion of AGM where he has been re appointed

In Private Companies, generally it is mentioned in the articles. The Director can call a EGM and members can appoint a Director. File Form 32 thereafter
