for private company there is no restriction on number of debenture holders. There can be institutional/numerous HNI's when subscribing. However the restrictions are upon a company while making a private placement - 200 in a year (excluding QIB n ESOPs). Read Section 42 of CA 2013 for the private placement restrictions.
