Presence of person to be appointment as additional director

As rules allow, the appointment of additional Director can be done through circular resolutin, it should not be mandatory for that person to be present at the meeting.

Thanks aditya, it means that if we dont pass reso by circulation, and instead, we can hold a meeting for appointment though  prospective add.Director is absent

Would like to tell you that in this case, that person can not be there coz, it is about his own appointment.
