Power of attorney (poa)

Dear Sir, In a joint venture company XYZ, one of the director will not be regular in work place and wants to appoint an attorney (may employee of the company) just to manage, maintain, and perform the business operation on behalf of him/her except financial issues. The attorney will be paid for the assigned task. What kind of PoA should make? Can you provide any sample please?

Dear Fahim,

Since a company is a seperate legal entity and the director is appointed by the company by way of resolution. In my opinion a director cannot give power of attorney to act on his behalf. However, a company in a board meeting by way of resolution could delegate some powers to the employee. But I believe any POA for acting on behalf of a director would not have any legal sanctity.
