Quick Summary
This discussion clarifies the eligibility criteria for forming a Corporate Social Responsibility (CSR) committee as per Section 135 of the Companies Act 2013. A company must meet at least one of the conditions related to net profit (₹5 crore+), turnover (₹1000 crore+), or net worth (₹500 crore+). It's also noted that a separate CSR committee isn't required if the total CSR spending is under ₹50 lakh, and exemptions may apply.

Yes, you are correct, however check amended ments if any.
Just To add ,If your Total CSR contribution for the year is not exceeding 50 lacs then no need of separate CSR Committee !
You are correct if your company is not in exemption list
