Partnership deed lost

Hi 

We registered a partnership firm in 1998 .Now we lost the partnership deed. We searched for it thoroughly in registrar of firms but of no use.

My partner is not willing to write a new partnership deed as we have differences.

Pl suggest what to do now?

Close the partnership firm and deactivate the PAN ang go for your own business..
