Non Filing of Returns

One of Our company has not filed last 2 years A/R and B/S since there is a management issue and matter is pending with the High Court ..Composition of Board is 2:1 and shareholding is 51: 49 and we have received a Notice from ROC in standard Format. What should we do?

And in other company there is non filing of A/R and B/s since 2007 and notice is received. We have filied the same, do we have to go to clb for su-moto compouding?
