Should a private limited company which is a subsidiary of a public company have a minimum of 2 or 3 directors?
Dear Mr. Pramood,
I am still confused between Sec. 252 and Sec 4. Explanations to Sec 4 does not provide the priviledge to a private co. which is a subsidiary of a public about having 2 directors?

I have confirmed the above matter with the ROC. It says that it allows companies to be incorporated as subsidiary of public company and having just 2 directors.
Yes it is very clear as per sec 252 that the minimun number of directors for a pvt. company is only 2.

Dear Niki, As per company Act in case of Private Company Minimum No of Director should be 2.
For further clarifications on this issue, the section reads as follows(Sec 252):
(1) Every Public Company(Other than a public company which has become such by virtue of section 43(A) ) shall have at least three directors.
(2) Every other company shall have at least two directors
