For a Private company an ordinary resolution was passed in EGM for issuing ESOP shares. In my view we do not need to file MGT-14 because this is ordinary resolution. Can someone confirm the same?

Any business transacted at an EGM is special business and even though there is no such relation between special business and special resolution, in this case I believe it is a special resolution and so MGT-14 should be filed. It would be wise , however to wait for other replies.
