Dear all,
I am working in the Private Limited co. , Co.'s articles is silent on the appointment of Additional director hence , every time we appoint additional director through EGM .
Recently we have appointed one Executive Director after having such EGM.
Now, we want to designate him as a M.D.
Can we change Designation of the director through board Meeting ??Do we need to take EGM for changing designation of the Director. ?
I understand that as per section 192 we need to file form 23 for appointment of Md and form 32 for change in the designation of the Director .
Do we need to file any other form and complete any other formality in this regard.
