Hello Clubbers,

I need clarification from you regarding Appointment of Managing Director (MD) in a Private Limited Company as per Indian Companies Act, 2013.

My questions are given below:

1) What are the required e-Forms to be filed for MD Appointment in a Private Limited Company ?

2) Is there any changes in CA 1956 & 2013 regarding this appointment in Private Limited company ? (I went through the 98 sections & didnot fin any change but still I need help for confidence)

3) Within how many days the e-Forms has to be filed ?

In Companies Act, 1956, the Board resolution appointing managing director should be filed with the ROC in form 23 within 30 days. Thats all

w.r.t the Companies Act, 2013 provisions regarding appointment of MD has not been notified yet.

The pvt limited co. was incorporated on 1/7/2014 under the provisions of the new Act. In the articles, a Managing Director has been appointed. Is it necessary to file form MR1 and MGT 14, regarding the terms of appointment?

Yes Bina....though the AOA mentions the MD, the same is required to be shown in MCA portal....so it is necessary......

But Vandana, in the "view signatory details" of MCA site, that person's designation has already been put as Managing Director.So is it still necessary to file MR1 in this case?
