Mca update: simplified procedures

Please take note.

MCA has issued circulars No.50/51/52 dated 25.07.2011 with reference to Section 17 / 141 / 297 of Companies Act 1956.

Simplified Procedure:

1. Shifting  of Reg.Office from one state to another and consequent amendment in moa - the task is delegated from CLB to CG

  and will be implemented   w.e.f 24 Sep 2011.

2. Work relating to rectification of register of charges under section 141 - the task is delegated from CLB to CG & implemented

 w.e.f 24 Sep 2011.

3. Online Approval from CG to Proposed Contracts under section 297 subject to approval by shareholders by special resolution

 in general meeting. Application to CG to be made in New E-FORM  with fee.  Terms of contract / Board Resolution & Special 

resolutions  will be captured in e-form. On certification from practicing professional, the application will be processed and approved

online w.e.f 24 Sep 2011.

Note: Before taking Directors / Shareholders approval the company has to take approval that the

contract does not have any conflict of interest , no default made in deposits, B/s and annaul returns are filed till date and contract

to fall under provisions of section 297.
