Forms pointed out by you are correct. And 30th Sept is the date till which u need to file income tax return. and for conducting AGM for adoption of annual accounts of the company. Further i m curtailing my answer to provisions of Companies Act, 1956.

Appoint the auditor and make ur financial statment of previous year and file the annual filing forms with late fees

Hi Nidhi,

I'm now clear as to which forms to file and the penalty regarding late filig of annual return(20B) and B/s and P/L(23ACA and 23AC) and their penalty.

I now want to know the following:

1) Is there any specifix penalty for late company audit i.e. audit after 30th Sept? Or is the penalty just covered under late filing fees of the above mentioned forms?

2) Since accounts are not audited until 30th Sept, if the AGM was called on 29th Sept 2011 but accounts were not adopted, what is the penalty? What form does the company has to fill for this? I think the company has to iform the registrar regarding the same, correct?

No penalty as i am aware and no such reporting is required to ROC.
