Is,Company secretary a managerial personnel for the purpose of restrictions on remuneration under section 197?Is his salary considered for the purpose of computation of managerial remuneration?
Would it make any difference if he is also a director of the company?

No..if he is only a CS of the company then he will not fall u/s 197, but if he is also a director of the company then definately yes
oh! ok..but is it possible that a CS can be a director of the company? should he be a director of different company in which he does not hold a position of CS right?
section 197 applicable only on MD, manager and WTD.
