Legal implications of directors resignation

Dear Experts

Kindly let me know the legal implication on a resignation of a Director

  1. Does resignation relieve him from his acts and deeds done till the date of his resignation
  2. Can he get indemnity certficate or bond from the company that company will represent and indemnify him in case of any previous acts?
  3. If yes why would company do that? Since it is not in favour of the company.
  4. Further if Company gives such indmnity to ll the directors then who would finally be responsible for actions till the date of resignation?
  5. What if the Director is Additional Director in above circumstances?

The Director will be responsible for the acts, done which are ultra virus, till his resignation, even after the giving resignation. And if the other directors agree to idemnify the acts and give him the certificate, he will be revived from any penality on producing suc indemnity certificate. But the company itself can not indemnify the directors but one director can to the other. Same implications will be there in case the director is the additional director.
