Certificate of incorporation is the conclusive evidence with regard to compliance of company law matters only . explain ?

I think

COI { certificate of Incorporation}
is for company law matters only as per
Companies Act 1956 as conclusive
evidence..
Because company is artificial person 
created by law... It does not need
any other evidence to prove its existence...
No one can question the company's existence
when it has COI...
