Can we issue equity shares to Non executive directors in a unlisted public company.?And can we issue these shares at concesional rates.? Which rules are apllicable inthis case? Can we go for Employees stock option scheme?

Yes Comapny can issue shares to non-executive directors. ESOP scheme is the best suitable option for the same. ESOP Rules will be applicable.

In my opinion Preferncial Allotment to the selected attottees will be the expedient option in case of unlisted public companies. ESOS has a very detiled procedure.
