Issue of shares to directors for services rendered

Hi Members!!!

Please suggest me in the following situation:

A company has allotted shares to its directors for amount owed to them for their services rendered. This is a case of issue of shares for consideration other than cash.

The company has to file form 2 i.e. return of allotment. Now whether the company is required to file form 3 also or not.
