Hi everyone,

I wanted to ask a question to all professionals in this club???Plz let me know about the procedure of issue of debentures by a unlisted public company????

Hi Deepali, the Procedure can be summed up as under: 1) Call a Board Meeting after giving Notice u/s 286, keeping in the following matters: a)Whether the debenture is convertible or not? b)If convertible then terms of conversion. c)Maturity period. d)Rate of Interest. e)Whether Public/Right issue. f)Credit Rating. g)Appointment of Trustees. h)Appointment of lead Manager and other intermediaries. 2)Make Apiication to one or MOre Stock Exchanges for Listing.

3) obtain Credit rating.4) Enter into arrangement with Depository.

Just Start up with the above then will let u know the further part in short while.
