For IPO, if company is making fresh issue of shares then special resolution u/s 62(1)(c) will be required. Apart from that AOA needs to be altered to be in line with SCRA, 1957 for that Special resolution u/s 14.
further various board resolutions like proposing IPO , appointing intermediaries etc will also needs to be passed.
in case of IPO through offer for sale, consent of seller u/s 28 needs to be obtained.
apart from that, approval of ROC on prospectus and approval of SEBI and SE for IPO will be involved.
