Please guide me--
Our is a public Company (non listed) having 3 Directors---
X
Y
Z
X & Y are husaband and wife. Now Z wants to resign who is non executive director. X & Y want to appoint their son Mr. K in place of Mr. Z.
In a Board meeting all the 3 directors X, Y and Z are present. Can we appoint Mr. K as a Director in the said meeting wherein X & Y are interested director and non interested director is only Z.
can't appoint .not satsfiying the requirements
Then what could be the solution for such situation?
Appoint him directly in the General Meeting.

Thanks.. further Mr. Z wants to transfer his shares in the name of X & Y jointly.. Here i think again have to transact share transfer in General Meeting since all the directors are present.

Dear Ankurji,
Whether Section 300 apply to a public company who is a subsidiary of public listed company. since referred company in query is a subsidiary of Public listed Company.
It will not affect the applicability of section 300.
