If you intent to change registered office of the Compnay within local limits of city, villege or towm, a company is requried board approval for that. After passing a board resoltuion, company needs to file Form INC-22 with ROC attaching specified documents.

Depends upon area of shifting of Registered Office

In same Town/ Village/ City: Board Resolution and INC-22

Outside the city but in same state: EGM and resolution to be passed by members and filing of MGT-14 and INC-22

Outsoide the state: Follow the thorough process of filing petition with CLB/RD 

what is expected cost of this process if within city transfer

Only one form needs to be filed (Form INC-22) that will cost maximum Rs 600 if filed within due date.
