applicability of independent director is for listed public company and for public company whose paid up share capital 10cr or more, turnover 100cr or more o/s loans debentures and deposit 50cr or more.
in your case its a private limited company and this section 149(1) is not applicable to you. means in my opinion u can appoint the director in terms of sec 152(2).
