I want to open a private limited company whose main object is to invest or trade in share market, commodity market..All the monies used for trading in share market , commodity market is from share capital of the *private limited company* then prior approval is required of sebi and RBI

Yes prior approval of SEBI is required..
Sir , under which clause it is required?
P) the proposed name include words such as 'Insurance', 'Bank', 'Stock Exchange', Venture Capital', 'Asset Management'. 'Nidhi', 'Mutual Fund', etc., unless a declaration is submitted by the applicant that the requirements mandated by the respective regulator, such as IRDA, RBI, SEBI, MCA, etc. have been complied with by the applicant;


Read chapter 2 rules as per this if your business activity is related to stock exchange in that case RoC demands SEBI approval letter.
