I want to start a new company in jv with malaysian investor

We are group of 4 individuals ,we are having talk with some invstor from malaysia with with whome we are planing to start a new venture in lighting and lumineries business and other industrial power saving goods which are in use of central air condtioning.

Now my question is how we can start a company with them as per following case's.

1 ) We will not invest any funds to start in business and they will have the complete investment in terms of products and funds . we will be just buiness oprating partners in india for them.

2) We may invest upto 20% and rest they investment .

3)  What is the limit of invstor from malaysia or its national in India

4)  Are there any concession or any scheme available for investors or doing business from malaisia.

5) What is the best solution JV with malaysian invetors.

You may register your company as foreign company and you along with foreign investors may become directors.

In this case you should incorporate a pvt. ltd. company and after incorporation foreign investor may take 80% capital of your company with prior approval of central goverment and RBI (Please ensure compliance with FEMA)

The business you have mentioned is permissible for 100% FDI. So, there is no limit for investment
