5 out of 8 directors of a Pvt Ltd Co. were disqualified for being appointed as director due to non attending board meeting for continuos 2 years

I think you should pass Board Resolution and file DIR-12 as they are disqualified due to operation of law. you can mentioned that in the form DIR - 12. Just sent a information letter to all directors for being removed from directorship. Correct me if I am wrong somewhere.
as per sec 167 where a director has not attained any meeting held in 12 months then such case he shall vacat his office. No need to pass board resolution for the same however co has to file dir 12 with roc & remove the name of such directors from the register of directors & kmp & their sharholding
