Call Board Meeting or Pass C/R for following matters :-
To consider and approve alteration In MOA to increase authorised capital
To consider and approve alteration in AOA if company don't have such authority
To approve Pvt placement offer letter, and report of RV/CA regarding price per share, and identify the person to whom the offer shall be made
To fix, day, date time ,venue of EGM including explanatory statement thereto
To authorise any director/cs to issue notice of EGM
to authorise any director /cs to issue pvt placement offer letter to intended allotees
Hold EGM pass S/R
File MGT-14 Of S/R
Issue offer letter
Recieve subscripttion money from allotees
Call Board Meeting to approve allotment
File PAS-03 with ROC in 15 days
Make entry in Register of Member in MGT-1 within 7 days of passing board resolution
Issue share certificates in Sh-1 and pay stamp duty
If shares are in demat form, file corporate action With depository for Crediting Shareholders account with alloted shares
