FORM NO. 25A FOR MANAGERIAL REMUNERATION

Do u have some practical idea on filing of these forms. actually this form is a little bit complex because it requires C.Govt. approval, which comes late (after 2-3 months). Since we have to apply for C. Govt. approval for providing managerial remuneration for 2 exe. directors in excess of Rs. 24 lac p.a. as per Schdedule XIII. Company has made defualt in repayment of loans etc. Defaults are in the natures of delayed payments only.

I am confused that how I should proceed. Whether we should go for publishing notice u/s 640B that co. is proposing to make appl. to centl. govt. for managerial remunertion in case of loss or inadequacy of profits. However this notice is to be given for the appointment of MD./WTD and remuneration. Our case is diffierent, it is for managerial remuneraiton.

Therefore I seek ur valuable guidance or guidance of my friends on this forum in that matter.

Ya Mr. Saurabh, it's an old form. Thts' why i said that it could help u to some extent.

But i am sorry, I don't hav any practical experience in the matter.
