As per the Sec 184 of the companies act 2013, "Every director shall at the first meeting of the Board of every year, has to give disclosure of his  interest/concern in other entities in form MBP 1."

 

My doubt is

Wheather MGT 14 is required to file to ROC (attachments with MBP 1 and Board Resolution) even if  directors has no such interest in any other entities?

Yes MGT 14 is required to be filed with attachment of board resolution..

This point has already been discussed in this group.  MBP.1 is  not required to be filed with ROC.  Section 117(3)(g) clearly provides that "resolutions" passed u/s 179(3) have to be filed.  Moreover MBP.1 is  meant for inspection of  directors and members only and not for general public at large.

 

No need to file Form MBP 1 in Form MGT 14 as MGT 14 is for only registration of resolution and there is no provision in the Act or Rules to file Form MBP 1 also. Form MBP 1 is for internal purposes only. The filing of Form MGT 14 is mandatory in this case irrespective of the fact that the director has no interest as resolution is passed to take a note that the Board has taken a note on disclosure of interest.
