We have to close down a liaison office,
While setting up the liaison office we didn't file form 44 with ROC neither we have filed form 52 for annual return.
Can we file both form 44, and then form 52 now.
What would be the penalities,

Dear jeet,
Is said liaison office registered with ROC without filing form 44?? For penalties read sec. 598, 599.

Hi,
The liaison office has not complied with any provisions with ROC, it has just acquired the permission letter from RBI after that no provision or compliance has been carried out.

Dear Jeet,
Yes it is required to file all documents with ROC, otherwise when you go with RBI for winding up then RBI (plz see the related notification of RBI in this regard) will not give clearance without the ROC report. So go to relevant ROC office and meet ROC about this and file all the forms.
