The AoA of the company has not mentioned about MD. The director who had acquired the DSC resigned from the company. When we filed form32, we had given for cessation. Also, we filed F32 by giving change in designation, ie a director was changed to managing director. Are we required to file Form 23 for appointing a managing director?

Yes you have to file form 23 for the appointment of Managing Director. Kindly refer section 192(4)(c).

My doubt is since the AoA does not contain a clause of having MD, if we are appointing MD, is it necessary to file Form 23.
