A pvt. co. wanting to shift its registered office address from Vasai to Andheri.
can it do so without consent of shareholders in a general meeting?

As company law says only board resolution will do for shifting of the registered office within local limits of the city.
whether vasai and andheri fall within local limits of the city??

Yes it falls under local limits only..

 

Vasai comes in Thane District, Where as Andheri comes under the local limit of Mumbai

 

Please conduct Board Meeting, pass necessary resolution and file the same as an attachment in your Form 18.

 

Hope i clarified your doubt

If Vasai and Andheri are in Mumbai, then simply pass a board resolution and file form 18 with ROC within 30 days of board meeting. There is no need to file form 23.

 

However if you change the registered office from one city to another city, you have to pass special resolution of shareholders in the general meeting. Form 23 will also be required to be filed in addition to form 18, to register the shareholders resolution with ROC.

i am MD for a ltd company can submit form 18 to update new registered address in local limits.

since my ca is not in town but i am registered as business user with MCA and also having my DSC

despite do i need CA for the same.

please also guide me do i required any attachment in Form 18 while the submitting the same.
