Foreign Investment - RBI guidelines

Hi

I wanted to know about the FCGPR form which needs to be submitted to RBI once shares are allocated to foreign investor.

One certificate from a CA needs to be made indicating the manner of arriving at the price of shares issued to investor          ( para 9B of FEMA 20/2000)

can anyone pls explain what exactly CA is suuposed to state or write in the certificate?

In the CA certificate the manner of arriving at the fair value of shares is given as per the CCI guidelines. Also kindly find attached the draft ca certificate.

The method given in the draft CA certificate is not applicable now. W.e.f from 21/04/2010, the RBI has changed the method as provided in erstwhile guidelines to DCF method. Now CA certificate has to be taken according to DCF method.

Does RBI permit me receiving Foreign Investment as a long-term loan and does RBI permit me to i repay the interest and principal amount?   or  is it mandatory to issue shares/CDs?
