Hi All
Please provide me procedure to register Foreign Company with ROC? How much is the ROC filling fees?
In my case foreign company has not registerd with ROC but it is registered with RBI for FEMA. So it is attracting penaly for non registration & non filing of yearly documents. the default is continuing in nature since last 3 years.
Please guide how to approch Compounding officer for the same issue?

Dear Amit,
You can refer section 592 and E Form- 44 for registration of foreign Co. Please note that the relevant papers must be apostilled by the Foreign Co.
Further, you don't need to go for compounding (ROC) as the matter can be sorted out by paying additional fees. Please note that the fees is Rs. 5,000/- and additional fees in your case will be Rs. 45,000/-.

But As per section 598 non compliance of any of the section by foreign company, shall be punishable with fine which may extend to Rs. 10,000/- & in case of continuing offence with an additional penalty of Rs. 1,000 per day.
So Section 598 is not going to apply to this case?
How u have calculated the fine? which section?
