what do we mean by first director?
is there any special rights thy have?
and who appoints the fst director?

After incorporation of company the promoter or members of the company appoints a director know as first directors of the company.

If no Director appointed on board then members of the company deemed to be the first directors of the company untill they appoints

Coming to powers AOA of the company specifies the powers of all Directors it's nothing like special powers having to first director.
first director of the company is appointed by the board in the first board meeting after the incorporation of the company.
if no director is appointed or till the first board meeting of the company, the subscriber to the memorandum is deemed to be the director of the company .
In the case of government companay the person nominated by central or state govenrnment asper the case is been appointed as the director of the company
himalaya ji first directors are not appointed in the first Board Meeting but they are named in the relevant article of Articles of Association as approved by Registrar of Companies during incorporation process...hope i am clear..

practically speaking first directors are those whose name have been proposed in form INC 1.
shailvi agarwal.. you are absolutely right it is not board meeting its general meeting and not for the first director but for the subsequent director.. but it is mentioned in the act that if the article does not provide for any name the subscriber to the memorandum is deemed to be the director of the company.. thnks .. plzz review
